1. Acceptance of Terms

By accessing or using SuperPlan (the "Service"), you agree to these Terms and Conditions. If you do not agree, do not use the Service.

2. Eligibility & Region

The Service is intended for users located outside the EU/EEA/UK and for individuals 16+ years old. If you are located in the EU/EEA/UK, please do not use the Service. Data may be processed in the United States and other regions where our providers operate.

3. Service Description

We provide tools that ingest your product materials (documents, audio, prompts) and generate structured outputs using AI models. The Service may evolve over time with new features or changes.

4. Accounts & Security

If accounts or waitlists are offered, you agree to:

• Provide accurate, current information.
• Maintain the security of credentials and notify us of issues.
• Accept responsibility for activity under your account.

5. Acceptable Use

You will not:

• Violate laws or third-party rights.
• Upload unlawful, harmful, or infringing content.
• Reverse engineer, bypass security, or overload the Service.
• Use automated scraping without our written permission.
• Introduce malware or attempt to gain unauthorized access.

6. Your Content & License

You retain ownership of content you submit. You grant us a non-exclusive, worldwide, royalty-free license to use, host, reproduce, and process your content to operate, secure, and improve the Service and develop new features.

You represent that you have the right to provide the content and that it does not violate others' rights.

7. AI Processing & Model Improvement

We use third-party AI providers (including OpenAI, Anthropic, AssemblyAI) to process your inputs and generate outputs. These providers may use inputs/outputs to improve their services under their policies. Contact [email protected] if you want us to minimize such use where supported; some model providers may still process data to operate their services.

8. Third-Party Services & Infrastructure

We rely on third parties to deliver the Service:

• AWS & Google Cloud: Hosting, storage, databases.
• Cloudflare: CDN, caching, DDoS protection.
• OpenAI, Anthropic, AssemblyAI: Model inference for text and audio.
• Google Tag Manager & Google Analytics: Measurement (only after consent).
• Microsoft Clarity: UX analytics (only after consent).

Their terms and privacy statements govern their handling of data. Use of the Service signifies acceptance of these downstream processors as part of delivering functionality.

9. Privacy & Consent

Our Privacy Policy at /privacy explains how we collect and use data. Optional analytics and session replay load only after you grant consent via the cookie banner and can be changed anytime from the footer link.

10. Availability & Support

The Service is provided "as is" and "as available." We may suspend or modify features at any time. We are not liable for downtime, data loss, or delays.

11. Intellectual Property

We own the Service, including software, branding, and documentation. You may not copy, modify, or reverse engineer the Service except as allowed by law.

12. Confidentiality & Security

We use reasonable safeguards (encryption, access controls, vendor reviews) to protect data. No system is perfectly secure; notify us promptly of any suspected compromise.

13. Data Retention & Deletion

We retain data as needed to provide the Service, comply with law, and resolve disputes. You may request deletion subject to legal obligations and technical feasibility.

14. Disclaimers

THE SERVICE AND AI OUTPUTS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE ACCURACY, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY IS LIMITED TO AMOUNTS YOU PAID US (IF ANY) FOR THE SERVICE IN THE PRECEDING THREE MONTHS.

16. Indemnity

You will indemnify and hold harmless SuperPlan, its affiliates, and personnel from claims, damages, or expenses arising from your content, your use of the Service, or your breach of these Terms.

17. Termination

We may suspend or terminate access at our discretion, including for violations of these Terms. You may stop using the Service at any time. Certain provisions (e.g., IP ownership, disclaimers, limitations, indemnity) survive termination.

18. Changes to Terms

We may update these Terms. We will post the revised version with a new "Last updated" date. Material changes may also be communicated by email or in-product notice. Continued use constitutes acceptance.

19. Governing Law

These Terms are governed by applicable laws without regard to conflict-of-law principles. Venue for disputes will be in a court of competent jurisdiction in our primary place of business unless otherwise required by law.
